1. Introduction

   1. In entering the e-commerce website of 10bis.co.il Ltd. (hereinafter:"10bis")) on the www.10bis.co.il website (hereinafter: the "Website"), and prior to executing a transaction for ordering food and beverage products, you are requested to read the following detailed conditions, which represent a binding legal framework regarding each and every transaction made through the website. The transactions made through this site, as well as through the employees and representatives of 10bis, are subject to the conditions set forth in these Terms of Use.

   Any one performing activities on the Website (hereinafter: the "User") agrees that he/she is aware of the Website's Terms of Use, the privacy policy (link can be found below) and the terms of participation in the website, and that he/she and/or anyone on his behalf shall have no claim against 10 bis, including it’s owners, employees and/or representatives, other than claims relating to breach of specific obligations given by 10 bis and detailed in these Terms of Use.

2. Terms for use of the website

   1. Any person or corporation or other legal entity with legal competency may use the Website, provided that the following applies to such user: The User performing any action on the Website is competent to commit to all the obligations resulting from performing actions on the Website, including, that he/she is not a minor, in matters regarding orders that include alcohol beverages; A User performing payment within the Website will do so by using a credit card, valid in the state of Israel, belonging to him and issued by one of the credit card companies permitted to operate in the state of Israel, or will hold explicit authorization from said card holder, or hold a PayPal account, or any other payment method allowed by 10bis in the Website; A User performing any action on the Website is the owner of an e-mail account connected to the internet, and any and all messages sent to said e-mail account by the operators of the Website, shall be considered as received instantly by said User; In the event a User performing an order on the Website chooses to pay for the transaction in cash, he/she, and he/she alone shall be responsible to make payment to the courier (in ordering food) or to the restaurant in ordering pick-up.

3. Limitation of Liability

   1. The Website operator serves solely as an intermediary between the User and the restaurants displaying their menu on the Website and allowing purchases via various payment options (the "Restaurants") . The details and all information presented on the Website have been provided to 10bis solely by the Restaurants, and is in their responsibility. Therefore, neither 10bis, the Website owners, its operators or any one on their behalf, shall not be responsible in any way for any representation or information on the Website, including the quality of the food, it’s price (including delivery costs), the identity of the delivery company, the delivery dates, delivery fees and the arrival times, its packaging and the payment of any tip to the actual delivery person (hereinafter: the "Purchase Specifications"). It is hereby clarified that the restaurant is solely responsible for transferring the actual tip to the relevant delivery person and also for collecting cash payment, in cases where the User chooses to pay cash. 10bis’s responsibility is limited to transferring payment made via the Website to the Restaurants, subject to any agreement made between 10bis and the Restaurants, in accordance with service fees due to 10bis. The exclusive responsibility for the Purchase Specifications applies only to the Restaurants, in accordance with various laws, including product liability laws, consumer protection laws, and kosher food certificates, as far as they are concerned. The User shall not have any claim against 10bis, the Website owners, it’s operators or anyone on their behalf, regarding the overall Purchase Specifications, including, among other things, the prices of the products, delivery fees, the payment of a tip to the delivery person, etc. The information displayed on this Website is presented in good faith and does not constitute a recommendation or expression of opinion regarding product quality, price, tipping, etc. 10bis, The Website owners, operators or anyone on their behalf shall not be liable for any misuse, fraudulent use or unauthorized use of a credit card and a 10bis card for the purpose of performing an action on the Website. The Website owners, operators or anyone acting on their behalf shall not be liable to the user for loss of direct or indirect profits, loss of savings, or direct/indirect damages, special or indirect, resulting from the use or inability to make use of products purchased by the User using the Website. 10bis is not responsible towards the User in all matters related to the delivery of food from the restaurant to him/her and the delivery policy is subject to the delivery policy of each Restaurant from which the User makes use of the Website in order to purchase food and/or the delivery policy of the delivery company in case of delivery via relevant delivery interface on the Website. The Website's performance is dependent on external suppliers (ISPs) and 10bis is not responsible for any malfunctions that may affect the standard operation of the Website, including failure to execute orders.

4. Protection of Intellectual Property and Trade Secrets

   1. All property and intellectual property rights in the Website and all other relevant data relating to or part of the Website, belongs solely to 10bis, and no one shall have any right or claim towards 10bis relating said rights, and shall not be permitted to make use of said rights, without a prior written authorization from 10bis alone. Any technological data, including software, hardware, programs, specs, data, processes, innovations. Improvements, trademarks, commercial secrets and all other data that can be identified in any way as data related to the Website shall be the sole property of 10bis and no person shall hold any claim over it, including right to use. The trademark and symbols relating to them (Logo’s) "10bis", "my delivery website", "10bis card", "10bis money card" are trademarks owned by 10bis, and no person shall have any claim to make use of these names or any other claim regarding any other right relating to them. 10bis respects the intellectual right of others, and as such request that if you, the User, have come across a picture, or any other representation which you believe are in violation of intellectual rights of any person or cooperation please address us via e-mail, and provide us with the information regarding the content and location of the violating material, and we will act to remove said material as quickly as possible.

5. Use of the website

   1. You may use the contents of the Website (as distinct from transactions you make through it) for personal and not commercial use, subject to these terms. The site may not be used in any other manner, unless you have received its explicit consent to give it a prior written consent and subject to the terms of the agreement (if given). The responsibility for use of the Website and any result thereof shall apply only to you:

   7. Do not link to the site from any site containing pornographic content, content that promotes racism or illegal discrimination, or websites that are illegal, or that their publication is illegal or encourages illegal activity;

In this case, you will cancel the deep link immediately and you shall have no claim or demand against 10bis, the Website management, it’s operators, or any person one their behalf in this matter.

6. Additional terms

   1. All prices on the website include VAT, unless stated otherwise. Unless otherwise expressly stated, all products displayed on the Website are of good quality as are customary in restaurants of the type used by the User and will be delivered to the User within reasonable time, and in good quality, all subject to these Terms of Use. In the event of any delay resulting in any factors or events that are not under the control of the owners or operators of the Website occur, or if defects in computer or telephone systems or communications systems occur in completing the purchase process, 10bis or anyone on its behalf, is permitted to announce the cancellation of the purchase (in whole or in part) and in this case only, 10bis shall cancel the order, and any amount paid by the User shall be refunded, or alternatively cancel the credit card billing operation made for said cancelled purchase. In the event of a typographical error or a slip of the pen in the description of the product or its price or the date of supply or any other information about it, 10bis or anyone on its behalf may, cancel the specific purchase and cancel the charge.

7. Governing law and place of jurisdiction

   1. The conditions set out above and their interpretation and enforcement are governed solely by the laws of the State of Israel. All actions carried out through this Website are subject to Israeli law only and any legal proceedings for any cause arising from legal action taken on this site will be clarified by the competent court in the Tel Aviv District only.

8. Intellectual Property

   1. All copyrights and intellectual property rights on the Website, the services offered on it, and all content included and incorporated therein are the sole property of 10bis, or of 3rd parties, such as Restaurants, who have given their consent to the Website to make use of said content. You may not copy, distribute, publicly display, publicly perform, transmit, make available to the public, modify, process, create derivative works, sell or rent any part of the above, either by yourself or through and/or in conjunction with any 3rd party, whether electronic, computerized, mechanical, optical, photocopying or recording, or by any other means, without obtaining written consent and prior approval from 10bis or the other rights holders, as the case may be, and subject to the terms of said consent (the extent such consent is given). You may not use any name, symbol or logo that is the same or deceptively similar to the trademarks, emblems or name of 10bis. You must refrain from any action or omission that may adversely affect the goodwill of the merchant. In the event said consent is received, you must refrain from removing, deleting or interrupting any message or sign regarding intellectual property rights, including – the Copyright symbol © or the trademark symbol ®, accompanying content that is to be made use of by you. The trademarks and advertisements of advertisers on the site are the property of these advertisers only. They too can not be used without the written consent of the advertiser.
